Sprint bid for MetroPCS faces range of complications Sprint Nextel's (NYSE:S) board will meet today to consider a counter offer for MetroPCS (NYSE:PCS), according to the Wall Street Journal. However, if Sprint attempts to steal MetroPCS from Deutsche Telekom's T-Mobile USA, the effort will be complicated by Sprint's network upgrade plan and the terms of the current deal between T-Mobile and MetroPCS.  | | Click here for complete coverage of T-Mobile's bid for MetroPCS. | Bloomberg, the Wall Street Journal and Reuters, all citing unnamed sources familiar with the matter, reported that Sprint's board is considering an counter offer. However, it is unclear when such an offer might be made or what form the bid might take. According to Reuters, Sprint is deciding whether to make a bid for MetroPCS or wait to make a move on the combined company, in which Deutsche Telekom will hold a 74 percent stake. Sprint has declined to comment on the fresh reports. "We made an attractive offer to the MetroPCS shareholders and are convinced that a merger is beneficial for both companies," a DT spokesman told the Journal. "If there is a counter bid we will comment." Any Sprint bid for MetroPCS would be complicated by a number of factors. First, Sprint is in the middle of a complicated, multibillion-dollar network modernization plan called Network Vision. However, a Sprint-MetroPCS tie-up might be easier than the combination of T-Mobile and MetroPCS given that both Sprint and MetroPCS are CDMA operators moving to LTE. T-Mobile's merger plan involves moving all of MetroPCS' CDMA customers off that network and onto a combined LTE network from MetroPCS and T-Mobile that would run on AWS spectrum. T-Mobile said it expects all of MetroPCS' customers to be moved onto the new, combined network by 2015. "A merger of [Sprint and MetroPCS] would be able to attain synergies faster and have less network integration risk," Piper Jaffray analyst Chris Larsen told Bloomberg. The possibility of a Sprint counter-offer is further complicated by the structure of the T-Mobile/MetroPCS deal, according to analysts. According to documents filed with the Securities and Exchange Commission, DT would pay MetroPCS $250 million if it backed out of the deal because of regulatory obstacles, and MetroPCS would pay DT $150 million if it backs out of the deal. And, according to the NYT, DT may have the upper hand in any bidding war. The newspaper noted that MetroPCS cannot exit the deal even if a competing bid is made, unless its shareholders vote against DT. BTIG analyst Walter Piecyk noted that Sprint could make a $15 per share offer for MetroPCS and might find more synergies than T-Mobile would. "Sprint would also have an easier time than T-Mobile at identifying synergies as MetroPCS customers' phones already work on Sprint's network, thereby speeding the pace of integration," he wrote. "We believe MetroPCS spectrum also has greater value to Sprint since in many key markets it is right next to the 5x5 [1900 MHz PCS] G Block that Sprint is using to deploy LTE. We estimate that Sprint would have to realize less than $150 million of annual synergies in order to lower the implied cost of their purchase to 5.0x, which is roughly where its own stock is trading." Clearwire: M&A around MetroPCS is a 'distraction' Clearwire (NASDAQ:CLWR) CFO Hope Cochran said that T-Mobile USA's plans to acquire MetroPCS (NYSE:PCS)--and Sprint Nextel's (NYSE:S) rumored plan to make a competing bid for MetroPCS--won't have an effect on Clearwire's long-term business prospects. However, she said that the noise around MetroPCS could distract Clearwire's potential wholesale customers. Cochran was questioned about reports that Sprint--a Clearwire investor and the company's largest wholesale customer--will attempt to steal MetroPCS away from T-Mobile. "There are two issues going on in wireless right now: scale and spectrum," Cochran said during her appearance at the Credit Suisse Global Credit Products Conference. "I think this addresses the scale issue nicely. I don't think it addresses the spectrum issue." "I think we've all heard Metro talk publicly about the fact that they need spectrum, and they need spectrum fairly significantly," she said. "So I don't know how combining a spectrum-constrained company with another spectrum-constrained company really solves that. I do think you can get some efficiencies, and that's very helpful and good, and can give them a little bit of breathing room. But in terms of really solving the capacity problem, I don't see it solving that." Clearwire has long hoped to sell access to its vast 2.5 GHz spectrum holdings to capacity-constrained network operators. Cochran said that the merger-and-acquisition activity in the wireless market is affecting Clearwire's ability to sign up new wholesale customers. "You can't say it doesn't have an effect," she said. Mergers and acquisitions "can distract, and distracting is not helpful. But I don't think it changes the fundamental equation," she said, noting that discussions with carriers about their networks "take time." Cochran also addressed Clearwire's recent disclosure that it might delay part of its TD-LTE network buildout. "Our agreements with Sprint also provide flexibility to modify the pace of our LTE deployment and remain eligible for the full amount of LTE prepayments from Sprint," Clearwire noted in a recent Securities and Exchange Commission filing. "As such, in order to better align our capital expenditures with the receipt of expected LTE revenues, we are currently evaluating our plans and may elect to delay a portion of our deployment schedule accordingly." Cochran said Clearwire wants to make sure that when it launches LTE it will begin making money off the effort quickly--which could lead to a delay in its LTE launch. Clearwire currently operates a WiMAX network that covers around 130 million POPs. The company plans to launch an LTE network next year. The company eventually plans to add LTE capability to around half of its WiMAX cell sites. Sprint resells Clearwire's WiMAX services and plans to offload its excess LTE network traffic to Clearwire's planned LTE network. Report: Huawei mulling IPO Huawei has reached out to investment banks to explore the possibility of an initial public offering but has made no decision on whether to do so, according to multiple reports. The reports, in both the Wall Street Journal and Reuters, said the privately held Chinese vendor has reached out for advice on how and where to list its shares. The move is seen as a way for the company to become more transparent and assuage security concerns as part of an effort to win more contracts in the United States, according to the Journal. Both reports cited unnamed sources. "We haven't ruled out the possibility of a listing," a source close to the company told Reuters. "We've always been in touch with banks, but I don't think anything has been decided." William Plummer, Huawei's vice president of external affairs based in the United States, told the Journal that Huawei doesn't comment on market rumors, but "if and when such a thing happened it would be when it makes commercial sense." As the Journal noted, an IPO would lay bare Huawei's ownership structure, sources of revenue, risk factors and whether it receives formal support from the Chinese government. Huawei may not be willing to make those moves, but has in recent months taken steps to become more transparent. In September Huawei said it would never cooperate with any spy agency. And in April Huawei said founder and CEO Ren Zhengfei would split the role of CEO with three executives on a rotating basis. The House Permanent Select Committee on Intelligence is expected to release on Monday a report detailing the results of its investigation into possible national security concerns posed by Huawei and ZTE. The committee grilled executives from Huawei and ZTE at a hearing in September, where the companies tried to allay lawmakers' fears. ZTE is a publicly traded company. Plummer told the National Journal that the investigation was based on "myth and innuendo" and unfounded political concerns. "It's politically driven, I get that," he said. "But Huawei is Huawei. Huawei isn't China. Any suggestion otherwise is really unfortunate." The two companies have repeatedly denied links to the Chinese military or receiving illegal help from the Chinese government. Both have had minimal success securing network infrastructure contracts from Tier 1 carriers in the U.S. market. However, both companies' device businesses have found favor with U.S. carriers. FCC's Genachowski: We're on track to free up 300 MHz of spectrum by 2015 FCC Chairman Julius Genachowski said the agency is on track to exceed its goal of freeing up 300 MHz of spectrum for wireless use by 2015, a key element of the FCC's national broadband plan.  | | Genachowski | In a speech at the University of Pennsylvania's Wharton School yesterday, the FCC chief said that the agency is on track to auction 75 MHz of licensed AWS spectrum by 2015, including an auction of shared rights to the 1755-1780 MHz band, which could be paired with the 2155-2180 MHz band. He said the FCC next year will auction the AWS-2 H Block in the 1900 MHz PCS band, which Sprint Nextel (NYSE:S) has been eyeing to use for LTE service. Additionally, Genachowski said later this year the FCC "will finish removing outdated rules and restrictions" on 70 MHz of spectrum, including 40 MHz of 2 GHz MSS S-band spectrum that Dish Network holds as well as 30 MHz of 2.3 GHz WCS spectrum AT&T Mobility (NYSE:T) wants to use for LTE. Genachowski also pointed to the broadcast incentive auctions, which are scheduled to take place in 2014. The national broadband plan calls for 120 MHz to be freed up for wireless in the auction, but it might wind up producing much less than that. "While we can't know yet exactly how many megahertz incentive auctions will free up, the opportunity is large, particularly given the highly desirable nature of this 600 MHz spectrum for mobile broadband," he said. "There are also significant opportunities to clear and reallocate underutilized government spectrum for commercial use." Finally, Genachowski talked up spectrum sharing, including the fact that unlicensed TV white space spectrum is now freed up in 6 MHz channels in many major markets and that by year-end the FCC will launch a formal proceeding to enable use of 100 MHz of spectrum in the 3.5 GHz band for small cells. However, it could take years before carriers are able to use any of the targeted frequencies. Further, critics have said that for small cell networks to be effective, they need to be tightly integrated with an operator's macrocell networks, which may not be possible under a shared-spectrum scenario, particularly if the frequencies are unlicensed. "So with 75 MHz from traditional auctions, 70 MHz from removing regulatory barriers, 100 MHz from dynamic sharing, and significant spectrum from incentive auctions, reallocations of government spectrum, and white spaces, we are on track to exceed the 300 MHz target by 2015," Genachowski said. Looking ahead, Genachowski said the FCC would continue to push for technological innovation and "smart wireless government policies" aimed at sharing government spectrum with carriers, spurring mobile broadband buildout in rural areas and clearing inefficiently used spectrum and reallocating it for licensed flexible use. "We must also recognize that the new realities make one conclusion unavoidable: the next generation spectrum crunch requires next-generation spectrum policy innovations," he said. "We must continue with policies that have worked, reforming and improving them as we go, while also supplementing our old tools with new ones." Genachowski noted that the FCC's goals in its 2010 broadband plan were ambitious. "People questioned whether those goals were realistic at the time. People continue to question that," he said. "But I believe in stretch goals, especially given the global competitive landscape and the upside to our economy and country. Recognizing that it can take a decade or more to identify, reallocate, and auction spectrum, we've been using new and innovative ways to accelerate the availability of spectrum for broadband and meet our goals." The FCC has also set a goal of freeing up 500 MHz of spectrum by 2020. The speech came shortly after the FCC voted to begin setting rules that will govern voluntary incentive auctions of broadcast TV spectrum for mobile broadband as well as a review of FCC rules for how much spectrum a carrier should be able to hold. Freeing up more spectrum has been a major policy goal of the CTIA and wireless carriers over the last several years. Samsung powers ahead to another record profit in Q3 Samsung Electronics said it climbed to another record operating profit in the third quarter of 2012, peaking at around $7.3 billion, a testament to the continued success of the company's smartphone business. Samsung's expected operating profit beat analysts' estimates, according to Bloomberg. In the second quarter Samsung posted an operating profit of $6.04 billion, which was a record. The South Korean electronics conglomerate said company-wide sales likely totaled $46.7 billion, which would handily beat the year-ago period $42.8 billion and the $41.8 billion the company had in the second quarter of 2012. Samsung did not break out its expected profit or sales by unit. Samsung's results likely received a jolt because of wider availability of its flagship Galaxy S III Android smartphone, which went on sale in the United States this summer through five carriers. Samsung, the world's largest handset and smartphone maker by volume, is expanding distribution by year-end. Strong sales of the S III have likely driven up the average selling price of Samsung's overall handset line. However, according to the Wall Street Journal, analysts think the operating profit from the company's mobile business may have peaked. Samsung will likely have to spend more money on marketing in the fourth quarter to counter Apple's (NASDAQ:AAPL) iPhone 5 in the market, as well as smartphones from Nokia (NYSE:NOK) and HTC running Microsoft's (NASDAQ:MSFT) Windows Phone 8 software. Samsung may also be weighed down by the cost of a $1.05 billion damage award Apple won in August in a patent infringement trial against Samsung. Samsung has appealed the ruling. "Fourth-quarter profit will be pressured by one-off expenses: performance payouts and some $1 billion in legal provisioning relating to the Apple litigation," Lee Sun-tae, analyst at NH Investment & Securities, told Reuters. "Excluding those, core earnings will remain solid and a swing factor is how much Samsung spends on marketing." Some analysts were optimistic about Samsung's prospects going forward. "Samsung is extremely resilient, they know what they need to work on, especially getting stronger on the services side to improve the stickiness of its devices and drive future sell-through," Infonetics research analyst Julien Blin told FierceWireless. "You should expect improvements in these areas in the coming quarters. The recent verdict definitely gave them some extra motivation to sustain its leadership in the smartphone market and keep executing well."
