FIERCE saves you $200; register now! | T-Mobile takes on Verizon, AT&T with MetroPCS buy Last week a top T-Mobile USA executive admitted the company had "lost its way" after AT&T Mobility announced its planned $39 billion acquisition of T-Mobile. That deal, of course, fell through in December 2011 when AT&T (NYSE:T) revoked its bid after facing intense opposition from regulators at the Department of Justice. Today T-Mobile is back in fighting shape with the news that parent company Deutsche Telekom has agreed to merge its U.S. operations with flat-rate player MetroPCS (NYSE:PCS). In fact, some analysts are saying that this move makes T-Mobile a viable threat to the big two operators AT&T and Verizon Wireless (NYSE:VZ) because it means that T-Mobile will be able to deploy LTE in 20x20 MHz of spectrum. With that much spectrum, T-Mobile's LTE deployment will be on par with the bigger operators. "This makes T-Mobile a much more significant competitor," said Roger Entner, founder of analyst firm Recon Analytics and a frequent contributor to FierceWireless. "[T-Mobile's CTO] Neville Ray's life just got a lot better." Make no mistake: Even though T-Mobile will be combining its 33.2 million customers with MetroPCS' 9.3 million customers, this deal is all about spectrum. "These were two very spectrum challenged companies," said Mark Lowenstein, founder of M-Ecosystem and a FierceWireless contributor. "They weren't able to compete effectively alone with their current spectrum holdings." And that additional spectrum will help T-Mobile fulfill its "challenger" strategy. The company has repeatedly said it will be the value-based operator in the market--a strategy that Lowenstein thinks is smart. "There is lots of opportunity for price competition in mobile," he said. "T-Mobile now has the spectrum to do it. Data services in the U.S. are very expensive." And although this merger will bring together two operators that are currently using different network technologies (T-Mobile is a GSM carrier and MetroPCS is a CDMA and LTE operator) Lowenstein said the difference in air-interface technologies is no longer that big of a challenge. "It is clear that everyone is investing in LTE and there is a commonality of spectrum between the two companies," Lowenstein said, noting both operators have AWS radio waves. Entner agreed, adding that MetroPCS, which has always been a prepaid carrier, has a fairly high churn rate (in the second quarter its churn was 3.4 percent) and that means that most of its customers have a lifespan of just slightly more than two years. "In two years, all of MetroPCS' CDMA customers will have turned over," Entner said, noting that this is a big difference from when Sprint Nextel (NYSE:S) acquired Nextel Communications. At that time Nextel had a very loyal customer base on its iDEN network. "Those iDEN customers had very low churn. They wanted to stay on that network," Entner said. T-Mobile's proposed merger with MetroPCS is a smart move for the company. Without this, it was likely to continue to lose customers and perhaps "lose its way" in the fiercely competitive U.S. wireless market. --Sue P.S. Regulators likely to smile on merger of T-Mobile and MetroPCS T-Mobile USA and MetroPCS (NYSE:PCS) expect to close their planned merger sometime in the first half of next year. Standing in the way of the transaction are the FCC and the Department of Justice, which worked to kill AT&T's (NYSE:T) attempt to purchase T-Mobile last year in a $39 billion deal. The transaction is structured as a recapitalization, in which MetroPCS will declare a 1 for 2 reverse stock split, make a cash payment of $1.5 billion to its shareholders and acquire all of T-Mobile's capital stock by issuing to Deutsche Telekom 74 percent of MetroPCS' common stock on a pro forma basis. DT also will roll its existing intercompany debt into new $15 billion senior unsecured notes of the combined company, thereby providing the combined company with a $500 million unsecured revolving credit facility and a $5.5 billion backstop commitment. The post-merger company will operate under the T-Mobile brand under the leadership of current T-Mobile CEO John Legere. It will serve 42.5 million U.S. subscribers and projects 2012 pro forma revenues of $24.8 billion. It's unclear exactly how regulators will react to the combination of T-Mobile (the nation's fourth largest wireless carrier) and MetroPCS (the nation's sixth largest wireless carrier), but it appears that the transaction might have a better chance of succeeding than AT&T's purchase of T-Mobile. According to the Wall Street Journal, a source close to the FCC said a merger between T-Mobile and MetroPCS would be approved relatively quickly--likely because the combination involves a struggling national player (T-Mobile) and a regional player (MetroPCS) instead of a massive national carrier (AT&T) expanding its reach with the acquisition of another national player. Executives from MetroPCS and T-Mobile parent Deutsche Telekom said they expect to receive regulatory approval for the deal, which would create a carrier that ranks as the nation's fourth largest player, just behind Sprint Nextel (NYSE:S). When AT&T announced its plans to acquire T-Mobile, the company predicted it would receive approval from the FCC and the DoJ. However, a range of players worked for months to convince regulators that the combination of AT&T and T-Mobile would stifle competition in the market by creating a carrier with too much market power. For its part, AT&T argued the combination would provide it with needed spectrum and would result in better coverage for customers. The DoJ eventually sued to stop the AT&T and T-Mobile merger, which forced AT&T to drop its bid to acquire T-Mobile in December. However, after regulators killed AT&T's acquisition bid, they agreed to approve Verizon Wireless' (NYSE:VZ) $3.9 billion purchase of AWS spectrum from a group of cable companies. Verizon helped push that deal through by agreeing to swap spectrum with T-Mobile and Leap Wireless (NASDAQ:LEAP) and to auction off some of its 700 MHz spectrum. Further complicating T-Mobile's merger with MetroPCS is the FCC's plan to re-evaluate how much spectrum a carrier should be able to hold. The FCC's rulemaking will explore the agency's so-called spectrum-screen, which it uses when reviewing spectrum transactions. If a carrier acquires too much spectrum and violates the screen, the deal is more closely scrutinized. Currently, the screen is different for each proposed transaction. It's unclear whether the FCC will have completed its review of the spectrum screen in time to apply it to T-Mobile's merger with MetroPCS. T-Mobile USA/MetroPCS merger poses content integration headaches The merger of Deutsche Telekom's T-Mobile USA subsidiary and MetroPCS Communications (NASDAQ:PCS) not only brings together their respective customer bases and spectrum licenses but also their mobile content efforts, calling into question which services the combined company will continue to offer moving forward. "The T-Mobile and MetroPCS brands are a great strategic fit--both operationally and culturally," Deutsche Telekom CEO Rene Obermann said. "The new company will be the value leader in wireless with the scale, spectrum and financial and other resources to expand its geographic coverage, broaden choice among all types of customers and continue to innovate, especially around the next-generation LTE network." Deutsche Telekom said it will expand MetroPCS's data plans and services to a larger number of new areas to complement T-Mobile's existing offerings. However, given the size of Deutsche Telekom's ownership stake and the relative scale of T-Mobile's business, the post-merger operator seems likely to resemble the current T-Mobile from a content and services standpoint. Signature T-Mobile efforts include the free Bobsled IP communications suite, which includes Bobsled Calling (enabling users to place free Internet calls over almost any data connection, across devices including iOS and Android smartphones and tablets) and the cloud-based Bobsled Messaging application (which allows Android users to share rich media messages with other Android device users as well as iOS, Windows Phone and BlackBerry smartphones and even most feature phones). More than a million consumers worldwide already use Bobsled services, which should hold significant appeal for MetroPCS's prepaid customer segment. MetroPCS already offers the complementary textPlus, which delivers free, ad-supported group texting services across device platforms including Android and iOS, offering both mobile applications and a permanent shortcode. Other T-Mobile USA calling cards include the T-Mobile Mall, which is featured inside the larger Google (NASDAQ:GOOG) Play storefront and offers apps and games curated by the carrier. The mall includes Music Hub (offering access to music apps like Shazam and TuneIn as well as MP3 tracks, albums and ringtones), Game Base (a collection of pre-screened titles) and Apps (highlighting T-Mobile's own applications as well as solutions from selected partners). MetroPCS currently offers its own MetroPCS Music, which is powered by Livewire Mobile and preloaded on all of the operator's Android devices. MetroPCS additionally offers music services in partnership with Rhapsody. There's also T-Mobile TV, which offers live and on-demand programming from broadcasters including ABC, Fox and PBS and is powered by mobile broadcast solutions provider MobiTV. MetroPCS's similar MetroStudio video app is likely to be a casualty of the merger due to redundancy: The service offers comedy, sports, news, drama and multicultural content from partners including Disney/ABC Television Group, NBCUniversal, Black Entertainment Television and Univision. MetroPCS additionally supports Dyle, which offers mobile digital TV content from more than 90 stations in 35 U.S. markets. MetroPCS pledged earlier this year to preload Dyle across its Samsung devices, leveraging ATSC-Mobile technology to deliver live programming to subscribers. Dyle's emphasis on regional programming could allow the service to co-exist alongside T-Mobile TV, although content overlap will pose difficulties. Likely unaffected by the merger is Isis, the forthcoming nationwide mobile commerce network spearheaded by T-Mobile in partnership with Verizon Wireless (NYSE:VZ) and AT&T Mobility (NYSE:T). First announced in late 2010 and slated to begin consumer trials this summer, the Near Field Communications-based Isis recently announced its kickoff has been delayed indefinitely while the company continues to fine-tune its customer experience. T-Mobile promises 20x20 MHz LTE network with MetroPCS spectrum T-Mobile USA executives said the carrier's plan to merge with MetroPCS (NYSE:PCS) is primarily an attempt to generate savings by combining the carriers' LTE, CDMA and HSPA networks. Specifically, T-Mobile plans to merge MetroPCS' existing LTE network into its own planned LTE network and to refarm MetroPCS' 1900 MHz CDMA spectrum for HSPA+ services. The result, T-Mobile said, will create a network that is cheaper to maintain and offers more capacity to subscribers. Indeed, T-Mobile said it expects around $6 billion to $7 billion of "cost synergies and additional upside from revenue synergies" if the deal is approved. "Together, the combined entity will be able to leverage a faster, stronger and more reliable network to provide amazing 4G services," T-Mobile CEO John Legere said. "We'll have unsurpassed speed and reliability through a denser, higher-capacity network and deeper LTE coverage in key metropolitan areas such as New York, Los Angeles and Dallas. We'll have greater network coverage and a path to at least 20x20 MHz of LTE in many areas." T-Mobile had previously said it would offer 10x10 MHz LTE. Though T-Mobile predicts synergies though the deal, the effort is complicated. T-Mobile currently operates an HSPA network, while MetroPCS operates LTE and CDMA networks. T-Mobile's merger plan involves moving all of MetroPCS' CDMA customers off that network and onto a combined LTE network from MetroPCS; T-Mobile that would run on AWS spectrum. T-Mobile said it expects all of MetroPCS' customers to be moved onto the new, combined network by 2015 (which T-Mobile said would be aided by MetroPCS' 60-65 percent handset turnover rate). Interestingly, T-Mobile said it will leave its GSM network up and running for roaming, M2M and legacy devices. "This all adds up to a hugely complex and challenging migration that will take significant time and investment and which is a major risk for derailing the benefits of the deal," wrote Informa analyst Mike Roberts, in a blog post. The combined T-Mobile and MetroPCS would have 76 MHz of total spectrum in the top 25 major metro areas. The combined companies would count 60,000 cell sites and distributed antenna network nodes, resulting in around 765 subscribers per cell site. T-Mobile said it will consolidate MetroPCS' network in certain areas by decommissioning unneeded sites. MetroPCS launched its LTE network in 2010 (the carrier essentially skipped an upgrade to 3G network technology by moving from CDMA 1X to LTE). The carrier has since been working to move its CDMA customers onto its more efficient LTE network. T-Mobile, meanwhile, recently announced a $4 billion network upgrade plan where it plans to launch LTE services on its AWS spectrum next year and refarm its 1900 MHz spectrum for HSPA services. T-Mobile's plan to merge its network with the network of MetroPCS could result in a windfall for T-Mobile's current network upgrade vendors, Ericsson and Nokia Siemens Networks. T-Mobile previously selected the two companies for its $4 billion network upgrade plan, and Ericsson and NSN could also be called on to aid with the integration of T-Mobile and MetroPCS' networks. Dish's Ergen: We'll need more spectrum ORLANDO, Fla.--Dish Network Chairman Charlie Ergen said his company will eventually need to get access to more than its 40 MHz of 2 GHz S-band spectrum if it wants to compete with the likes of Verizon Wireless (NYSE:VZ) and AT&T Mobility (NYSE:T). | Ergen | After delivering a keynote speech at the PCIA wireless infrastructure conference here, Ergen said Dish will need more spectrum if it wants to compete with carriers like AT&T and Verizon that each have 100 MHz of spectrum total. He did not say how Dish plans to get more spectrum but indicated that it would look to partner with a company that had more low- or mid-band spectrum. In May, Ergen said Dish has enough spectrum to start its wireless business, but he seemed to be indicating that longer term it would need more spectrum resources to be a disruptive force in the market. Ergen reiterated Dish's desire to partner with another wireless carrier for its LTE Advanced wireless network buildout. He said that sharing cell towers, backhaul and other infrastructure makes sense. "If somebody wants to do that we're probably going to be a very good partner," he said. Ergen said Dish plans to do what it did as a pioneer in the video and content delivery business and deliver a better product at a cheaper price than existing wireless carriers. Without going into specifics, he suggested that Dish might be able to give customers access to their satellite TV feeds on their mobile devices, or allow customers to connect to satellite service when cellular networks are unavailable. Ergen also suggested that the wireless market is not close to being fully penetrated thanks to connected devices and machine-to-machine opportunities available in the years ahead. However, Ergen cautioned that the wireless bet is not a sure thing. "We may end having to sell the spectrum," he said. "We're not suicidal." He said Dish's preference is not to sell its spectrum but to build out a network that can take advantage of burgeoning wireless data growth. "This is going to be a tough project for us," he said. "But it's not our first rodeo." Dish is awaiting final FCC rules on the terrestrial use of MSS spectrum, and the company is seeking a crucial waiver to offer terrestrial-only devices. However, Dish has indicated it will move ahead with handsets that use the satellite component of the wireless network regardless of the FCC's actions. Ergen urged the FCC to complete its rules as soon as possible and commended FCC Chairman Julius Genachowski and his staff for working so diligently with Dish on the rules. Dish paid $2.78 billion in 2011 for its spectrum in bankruptcy proceedings, and the company has said it expects to launch its planned LTE Advanced network sometime in 2016. Via Licensing launches LTE patent pool with AT&T, Clearwire and others Via Licensing, a subsidiary of Dolby, is launching an LTE patent pool with 10 participating companies including AT&T (NYSE:T), Clearwire (NASDAQ:CLWR), DirecTV, Hewlett Packard, KDDI, NTT DoCoMo, SK Telecom, Telefonica and ZTE. The company said that more patent holders are likely to join the group in the coming weeks and months. According to Roger Ross, president of Via Licensing, some patent holders are interested in joining the LTE patent pool but are waiting for the resolution of existing patent disputes before committing. "It's difficult for companies to join if there are essential patents in dispute," Ross said. Ultimately Via Licensing hopes to secure 20 percent of the intellectual property behind LTE in its pool. "If we have a patent pool that reaches between 20 percent and 40 percent of the industry, that is significant," he said. Ross said that Via Licensing hopes to be a one-stop shop for access to LTE patents. Companies that want to build LTE devices or equipment realize that they have to take care of IPR issues and most are waiting for a patent pool so that they can more easily ink patent-licensing deals. However, Via Licensing isn't the only company interested in an LTE patent pool. The Open Mobile Alliance, Sisvel, MPEG LA and others have talked about creating an LTE patent pool with the goal of streamlining the licensing process and letting companies build LTE devices more quickly. Ross added that there are companies, such as Qualcomm (NASDAQ:QCOM) and Ericsson (NASDAQ:ERIC), that do not join patent pools because IP licensing is a key part of their business model. He said that monetizing LTE patents isn't likely to change with the advent of a patent pool. However, essential patents--those that are necessary to building LTE products--will benefit from being part of a pool because it allows licensees to more easily predict their financials. LTE patent licensing is a big business. ABI Research estimates that royalties raised from 4G cellular technologies will reach $6 billion in 2017, nearly quadruple of what it is in 2012. Indeed, patents are big business. Earlier this year a group of companies including Apple (NASDAQ:AAPL) and Microsoft (NASDAQ:MSFT) purchased bankrupt Nortel Networks' LTE patent portfolio for $4.5 billion. The auction, which had 54 qualified bidders, is part of a program to expand mobile broadband coverage to rural and unserved areas of the country. Winning bids were made by 33 companies. Those companies will eventually be able to take advantage of a total of $300 million in funds set aside to provide 3G or better mobile broadband services.
