Report: T-Mobile wants $1B breakup fee from Sprint if a deal fails T-Mobile US (NYSE:TMUS) parent Deutsche Telekom wants at least a $1 billion breakup fee in the event that regulators block a merger between Sprint (NYSE: S) and T-Mobile, according to a Wall Street Journal report. According to the report, which cited unnamed sources, DT also wants assurances that T-Mobile's brand and some of its management team would remain after a deal. The report also said DT and SoftBank-owned Sprint are discussing how much opposition they face from regulators. The companies want to strike a deal soon, but given signals of opposition from the FCC and Department of Justice, they are also thinking of holding off on the transaction until after the incentive auctions of 600 MHz broadcast TV spectrum scheduled for mid-2015. DT and SoftBank are also evaluating how FCC rule changes governing how much spectrum carriers can hold could affect the merger of Sprint and T-Mobile. On Thursday, the FCC plans to vote on rules that would limit the amount of spectrum carriers can own. The new rules could add the 2.5 GHz spectrum that Sprint owns to the FCC's so-called "spectrum screen"--thus making it more difficult for Sprint to acquire additional spectrum. The addition of Sprint's 2.5 GHz spectrum to the screen could make it more difficult for Sprint to merge with T-Mobile and to combine the two carriers' spectrum portfolios. DT received a $6 billion breakup fee that included spectrum, a roaming agreement and $3 billion in cash after regulators blocked AT&T's (NYSE: T) $39 billion acquisition of T-Mobile in 2011. That set the stage for T-Mobile's comeback in the market; the carrier has added 6.1 million customers in the past four quarters, including 1.3 million postpaid subscribers in the first quarter of 2014 alone. DT still owns 67 percent of T-Mobile. DT CEO Timotheus Hoettges said last week he is open to creating a "super maverick" to challenge AT&T and Verizon Wireless (NYSE: VZ). However, he also indicated that there are clear hurdles. "We're getting signals from the regulatory authority as well as antitrust supervisors that such a merger isn't seen as expedient," Hoettges said in discussing DT's first-quarter results. "Against that backdrop, we have to see how we can develop the business so it creates the most value for our shareholders." The Journal report added that SoftBank CEO and Sprint Chairman Masayoshi Son wouldn't do anything "reckless," and does not want the deal to get blocked only to see T-Mobile get a sizable breakup fee, which it could then use to fight Sprint. Dish, nTelos aim to launch fixed TD-LTE network in July, later than expected Dish Network (NASDAQ: DISH) and Sprint (NYSE: S) wholesale partner nTelos Wireless are close to launching a trial network for fixed wireless TD-LTE service. The companies hope to add commercial users to the network in July, later than they initially expected when the plans for the trials were first unveiled last fall. nTelos CEO James Hyde discussed the trial during the company's first-quarter earnings conference call on May 7. He noted that after the 1900 MHz PCS H Block auction concluded in late February, nTelos "re-engaged" with Dish to complete preparations for the second phase of their fixed mobile broadband market trials. "Our core network elements are substantially complete, and we're pushing the back-office setup work," he said. "Based on refined network design models, we expect that the trial network will cover nearly 500,000 POPs, and we should begin adding friendly users next month and customers to the network in earnest starting in July." The companies had initially hoped to deploy commercial service sometime in early 2014. When talking about the trial on the company's fourth-quarter earnings call in late February, Hyde had said the trial network would be rolled out across four nTelos markets covering nearly 600,000 local residents. He had said the "build plan is on schedule and we intend to have a network completed and tested" late in the first quarter. It appears the network testing and completion has been delayed by several weeks. Dish and nTelos have said they will initially launch the service in markets where they have a high concentration of customers: Roanoke, Staunton, Waynesboro and Charlottesville, Va. The service uses nTelos' 2.5 GHz spectrum, and Hyde has said the service might be sold as a standalone service or bundled with nTelos' wireless service or Dish's satellite TV service. nTelos has a total wireless footprint covering 6 million POPs. Hyde said in February that the companies would be "experimenting with various price points and bundled plans in order to learn all we can about customer adoption rates, usage and expectations along with network performance and costs." Dish is also working with Sprint on a similar trial in Corpus, Christi, Texas. The companies have said that service will be available in the middle of 2014, but have not provided a more specific timeline than that. Sprint and Dish have also said the service will initially be available in limited areas of Corpus Christi, but that they plan to expand into additional markets in the future. A Sprint spokeswoman said the carrier did not have an update on its plans. In other nTelos news, the company will expand its LTE network, which it first launched in the fourth quarter of 2013. Hyde said that the company is using Ethernet backhaul and that it has firm commitments in place already to bring the backhaul to 75 percent of the company's LTE sites. "Therefore, we plan to launch LTE services in more markets during May and June, and by the end of June, we expect to cover approximately 2.5 million POPs with LTE, which is nearly 60 percent to our year-end goal of 4.2 million POPs and we are on track to achieve that objective by the end of 2014," he said. nTelos ended the first quarter with 468,000 total wireless subscribers, having added 3,400 net new customers during the period. The company said operating revenues increased 2 percent to $122.1 million during the quarter. Qualcomm reportedly set to buy Wi-Fi chipset firm Wilocity for $300M Qualcomm (NASDAQ:QCOM) is close to finalizing a deal for Israeli Wi-Fi chipset startup Wilocity, according to an Israeli media report, a deal that would bolster Qualcomm's Wi-Fi expertise as the number of Wi-Fi hotspots is set to grow significantly. The report, from Israeli site TheMarker, said that the deal will be worth around $300 million. According to the report, which did not cite its sources, the terms of the deal are not yet finalized but Wilocity employees were notified two weeks ago that the deal was happening. Qualcomm declined to comment and a Wilocity spokesperson did not immediately respond to a request for comment. Wilocity was founded in 2007 and has since raised around $105 million from a series of strategic investors, notably Qualcomm and chipset maker Marvell, as well as Cisco and leading venture capital funds including Sequoia, Benchmark Capital, Tallwood Venture Capital and Vintage. Wilocity's chips use the 60 GHz band to deliver ultra-fast Wi-Fi. Wilocity is one of the most vocal proponents of the 802.11ad standard, which is being pushed by the Wireless Gigabit Alliance, or WiGig. Qualcomm (NASDAQ:QCOM), Nokia (NYSE:NOK), Samsung Electronics, Nvidia and others are members of the WiGig Alliance, which is working with the IEEE to standardize 802.11ad. The standard promises to transmit data at up to 7 Gbps over short distances in the 60 GHz band (so it would work within a room, but due to the spectrum band likely wouldn't pass through walls). A deal for Wilocity could allow Qualcomm to incorporate its technology into its devices just as 4K video is starting to take off. The ability to quickly stream ultra-HD video to smartphones and tablets, even in limited contexts, could help Qualcomm stand out. This wouldn't be the first Wi-Fi-related acquisition for Qualcomm, or even the largest. In 2011 Qualcomm paid $3.1 billion for Wi-Fi chip giant Atheros to give it a leg up in the Wi-Fi market, which for many years has been dominated by rival Broadcom. In 2006 Qualcomm also purchased another Wi-Fi chipmaker, Airgo Networks. The Wi-Fi market is expected to keep growing at a rapid clip. Wi-Fi hotspot deployments worldwide reached 4.2 million hotspots last year and should exceed 10.5 million in 2018, according to a new report from ABI Research. The estimates include Wi-Fi hotspots deployed by mobile and fixed-line carriers as well as third-party operators. Rumor Mill: Samsung to release first Tizen phone in Russia, India Samsung Electronics is aiming to release its first smartphone running the Tizen operating system in Russia and India, according to a Wall Street Journal report. The report, citing unnamed sources, said that the phone that will be unveiled in Russia will be announced similar to how Samsung unwraps its flagship devices, and that the launch event will take place around the same time as a Tizen developer conference in early June in San Francisco. Samsung also is close to releasing a Tizen phone in India, the report added. Samsung did not respond to a request for comment and the Tizen Association declined to comment, according to the report. The timing is not exactly a surprise. In an April interview with Reuters, Yoon Han-kil, senior vice president of Samsung's product strategy team, said Samsung would release a high-end Tizen phone in the second quarter, and then later will release a mid-range Tizen device aimed driving larger volumes. Samsung has repeatedly delayed the release of Tizen smartphones. The open-source Tizen platform could give Samsung an opportunity to get more revenue from third-party applications and services, but it is also an incredibly small ecosystem compared to Google's (NASDAQ: GOOG) Android platform. Samsung is using Tizen, and not Android, for the second version of its Galaxy Gear smart watch and other new wearables. The launch markets of Russia and India are not that surprising. Samsung executives have telegraphed that they would not focus a Tizen phone on developed, Western markets, where its Galaxy brand of Android phones is already strong and where there are established competitors. Samsung remains the staunchest support of Tizen among hardware OEMs. Other Tizen supporters include Intel, Huawei, ZTE, Orange and Vodafone, as well as Sprint (NYSE: S), though Sprint has not indicated when it might launch Tizen-based products. The Tizen Association is an open-source group that was created through the merger of the former MeeGo and LiMo platforms. Report: FCC's Wheeler to revise net neutrality proposal, could reclassify broadband FCC Chairman Tom Wheeler is reportedly revising his proposal on draft net neutrality rules to make it clear that the FCC would look at deals between content providers and ISPs to ensure broadband providers don't slow the content of companies that do not pay ISPs for faster access. It's unclear if or how the new proposal, which the Wall Street Journal said is being circulated to Wheeler's fellow commissioners, would apply to wireless carriers. Wireless carriers are already exempt from most net neutrality rules. Last month an FCC official said the agency would seek comment on whether mobile broadband providers should be subject to the same "commercially reasonable" standard as wired ISPs when making deals with content providers. Wheeler's initial proposal, first introduced last month, sparked a firestorm of criticism from lawmakers, FCC commissioners and companies like Google (NASDAQ: GOOG) and Netflix (NASDAQ: NFLX) over concerns that content providers would be forced to pay to ensure their content was delivered quickly. Now, according to the Journal, the new draft would also seek comment on whether such "paid prioritization" agreements should be banned altogether. Importantly, the new draft will also seek comment on whether the FCC should reclassify broadband as a Title II common-carrier telecommunications service, and not an information service. Wheeler has always held out that approach as an option to crafting net neutrality rules. It is a move that is favored by net neutrality proponents because it could put the rules on firmer legal footing, and it is strongly opposed by carriers and ISPs, which have warned that treating the Internet as a utility would strongly harm innovation and investment. "The new draft clearly reflects the public input the commission has received," one of the FCC officials told the Journal. "The draft is explicit that the goal is to find the best approach to ensure the Internet remains open and prevent any practices that threaten it." AT&T has already come out swinging against a reclassification to Title II, even if the FCC were to embrace a legal strategy of "forbearance" and not apply many Title II common-carrier obligations to broadband providers. "To be sure, the Commission might attempt to minimize the disruption and calm the markets by proposing to forbear from most statutory provisions in Title II, as it did when it first proposed reclassification," AT&T wrote in a recent FCC filing. "But sorting through which of these provisions should apply and which would be subject to forbearance would itself ignite controversy, disagreement, and litigation, creating protracted regulatory uncertainty." However, Title II proponents said AT&T is twisting the narrative on reclassification. "As usual, AT&T's positions are laughable at best--though disingenuous is more like it," Matt Wood, policy director of consumer advocacy group Free Press, told Ars Technica. "Nothing in Title II says that every last provision has to apply to any Title II service. That's the whole point of forbearance. The fact that broadband providers could be entitled to something doesn't mean they actually are entitled to it, or that AT&T's cost-causation story is true." "To look at a real-world example instead of an AT&T fantasy: mobile voice is a common carrier service, and yet CMRS [commercial mobile radio service] providers are barred from charging access fees," Wood also said. "And many enterprise market broadband services are telecom services yet still subject to bill-and-keep and privately negotiated contracts. Nothing about Title II commands the results that AT&T's straw man argument suggests."
